LLC AND CORPORATE FORMATION
A few states make a new LLC announce its formation in a newspaper. We find the papers that qualify for your county, run the notice for the full schedule and send you the affidavits to file.
Rules change by state and county. These are common examples; we confirm the exact rule for your case with your quote.
Some states require a new company to announce its formation in a newspaper. If you skip it, the company can lose good standing or the right to sue in state court.
Who publishes it: New LLCs and, in some states, corporations, limited partnerships and out-of-state LLCs registering to do business there.
Example
New York: two newspapers chosen by the county clerk, once a week for six weeks, within 120 days of formation.
Where it runs
Newspapers designated for the county of the company’s office.
Proof you receive
Affidavits of publication, ready to file with the Secretary of State.
Rules change. We confirm the current rule for your state and county before you pay.
Typical timeline
New York: six weeks of runs plus one to two weeks for the affidavits.
What we need
Exact LLC name, filing date, county of the office and the articles of organization.
Cost
Depends mostly on the county and the newspapers designated. You get a fixed price before anything prints.
Still not sure? Send us your case and we tell you exactly what applies.
Only in a few states, mainly New York, Nebraska and some counties in Arizona. Most states have no publication rule for LLCs.
If the LLC does not publish and file the Certificate of Publication within 120 days, its authority to carry on business in New York can be suspended until it complies.
The county clerk of the county where the LLC’s office is located designates the newspapers. We place the notice in the designated papers.
In New York, the affidavits of publication from both newspapers go to the Department of State with the Certificate of Publication. We send you the affidavits as soon as the newspapers issue them.
Send the notice text or describe your case. We reply with the newspaper, the run dates and the price.
